Ghana's VASP Regulatory Framework

Ghana enacted the Virtual Asset Service Providers Act, 2025 (Act 1154) — moving the country's digital asset market from a grey zone into a supervised, rules-based framework. Here is what you need to know.

Act 1154 establishes the legal foundation for the registration, licensing, and supervision of Virtual Asset Service Providers in Ghana. It creates a structured perimeter — defining who can operate, under what licence, with what controls, and which regulator is responsible.

Provision 01 — Authority
Dual Regulatory Structure
The Bank of Ghana and SEC Ghana are named as primary regulatory authorities under the Act, with further regulators prescribable by the Minister of Finance. BoG oversees payment-related and custodial activities; SEC covers investment products, exchanges, and securities-related VA services. The Financial Intelligence Centre (FIC) handles AML/CFT coordination.

Provision 02 — Licensing
Mandatory Registration & Licensing
Any entity conducting virtual asset activities in Ghana must register or obtain a licence — which regulator depends on the activity. This activity-based approach eliminates regulatory arbitrage, giving legitimate firms a clear path to operate and giving regulators enforceable hooks against bad actors. The BoG has confirmed its application portal will be live by end of Q1 2026.

Provision 03 — AML/CFT
Full AML/CFT Compliance Required
VASPs must operate in line with the Anti-Money Laundering Act, 2020 (Act 1044) — including full KYC procedures, ongoing transaction monitoring, suspicious activity reporting to the FIC, and implementation of the FATF Travel Rule for cross-border transfers. Non-compliance carries severe penalties including licence revocation.

Consumer & Investor Safeguards
The Act mandates disclosure and transparency requirements, data protection and cybersecurity standards, and operational safeguards to protect users. Supporting regulations will set out detailed requirements for disclosures, taxation, and operational standards. VASPs must also comply with Ghana's Data Protection Act.

Regulatory Sandbox for VASPs
SEC Ghana is finalising a regulatory sandbox framework specifically for VASPs — providing a controlled environment to test innovative products under regulatory oversight. Open to: exchanges, trading platforms, issuance, tokenisation, VA ETFs, managers, advisors, and brokerage services. Applications open upon framework completion.
