Reiterates Prior Full Year 2026 Revenue Outlook of $170-$180 Million Before the Impact of Any New Acquisitions Announced in 2026

(Nasdaq:ONDS) ("Ondas" or the "Company"), a leading provider of autonomous aerial and ground robot intelligence through its Ondas Autonomous Systems (OAS) business unit and private wireless solutions through Ondas Networks, today announced its revised preliminary results for the fourth quarter and full year of 2025 and will announce its final results on March 25, 2026. Since issuing the preliminary results on March 9, 2026, management has completed additional financial close procedures and refined certain preliminary accounting estimates, specifically the net change in the fair value of our warrant liability which is expected to result in a net gain of approximately $102 million for the fourth quarter and full year 2025.
Revised Preliminary Financial Results
For the fourth quarter 2025, we expect to report revenues between $29.1 and $30.1 million, which is above our prior guidance of $27 to $29 million. We expect net income between $82.9 million and $83.4 million, and adjusted earnings before interest, taxes, depreciation, and amortization ("Adjusted EBITDA") (non-GAAP) between $(9.9) and $(9.4) million, for the three months ended December 31, 2025, respectively.
For the full year 2025, we expect to report revenues between $49.7 and $50.7 million, which is above our prior guidance of $47.6 to $49.6 million. We expect net income between $50.4 million and $50.9 million and Adjusted EBITDA (non-GAAP) between $(31.5) million and $(31) million for the year ended December 31, 2025, respectively.
Ondas also reiterates our full year 2026 revenue guidance of $170-$180 million. This guidance does not reflect any new acquisitions announced in 2026.
As of December 31, 2025, the Company had cash and cash equivalents of approximately $551 million. Subsequent to year end, on January 12, 2026, the Company raised approximately $1 billion.

Non-GAAP Measure
As required by the rules of the Securities and Exchange Commission ("SEC"), we provide a reconciliation of Adjusted EBITDA, a non-GAAP financial measure, to the most directly comparable measure under GAAP, net income (loss).

Bringing AI to Mission Operations
The second program, AI Flight Director, will support World View’s mission operations teams by integrating atmospheric data, proprietary modeling, telemetry and historical mission data into a unified operational platform. The third program, SkyWeaver, focuses on bringing data processing and model inference directly onto World View’s Stratollite through an on-vehicle edge computing system. (NASDAQ:ONDS) ("Ondas" or the "Company"), a leading provider of autonomous aerial and ground robot intelligence through its Ondas Autonomous Systems (OAS) business unit and private wireless solutions through Ondas Networks, today announced that its subsidiary 4M Defense has received the first operational order under the previously announced large-scale multi-year demining program in Israel.
The initial order, valued at approximately $15.8 million, marks the first phase of execution under the national land-clearance initiative awarded to 4M Defense following a competitive tender valued at over $30 million. The project will be implemented based on defined milestones, with an initial execution period of up to three years and includes options for extensions and scope expansion as the program progresses.
The contract also includes the potential for up to an additional $30 million in follow-on phases over the coming years, effectively doubling the total potential value of the program as additional project phases are authorized.

Preliminary Financial Results
For the fourth quarter of 2025, we expect to report revenues between $29.1 and $30.1 million, which is above our prior guidance of $27 to $29 million. We expect net loss between $(20.9) and $(20.4) million, and adjusted EBITDA between $(11.4) and $(10.9) million.
For the full year 2025, we expect to report revenues between $49.7 and $50.7 million, which is above our prior guidance of $47.6 to $49.6 million. We expect net loss between $(53.3) and $(52.8) million and adjusted EBITDA between $(32.9) and $(32.4) million.
Adjusted EBITDA excludes depreciation, amortization of intangibles, acquisition-related expenses, stock-based compensation, interest income and expense, foreign exchange gains and losses, changes in fair value of investments and government grant liabilities, income taxes, and other non-operating income. A reconciliation between net loss and adjusted EBITDA is provided below.

The current order represents the initial stage of a multi-year framework expected to include additional development milestones, deployment phases, and follow-on expansion orders.
The order follows Ondas' December 2025 announcement of its selection as prime contractor for the large-scale national program on behalf of a major government entity and marks the formal launch of the program's rapid development, system integration, and phased deployment activities. The project will be executed based upon defined project milestones, with an initial execution period of up to three years and options for extensions and scope expansion.

The project will be led by 4M Defense, Ondas' smart demining subsidiary, and represents one of the largest demining projects ever undertaken in Israel. The program covers approximately ~741 acres along the Israel-Syria border, a historically contaminated and strategically sensitive region.

The acquisition of Rotron Aero will enable Ondas to meet the growing demand for cost-effective mass scale technology on the modern battlefield. By integrating Rotron's technology, Ondas will add next-generation, attritable one-way autonomous attack systems with long-range strike capabilities. These scalable, unmanned platforms are designed to operate within Ondas' existing systems architecture, providing military customers with enhanced operational flexibility and reduced personnel risks in contested environments.
