1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the services, software, websites, tools, APIs, and related offerings provided by Pacy Devtools (“Pacy”, “we”, “our”, “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind the organization to these Terms.

2. Eligibility

You must be at least 18 years old to use our Services. You may not use the Services if doing so is prohibited by law in your jurisdiction.

3. Accounts and Registration

To access certain features, you may be required to create an account. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials confidential
  • Be responsible for all activity under your account

If you suspect unauthorized access, you must notify us promptly.

We reserve the right to suspend or terminate your account at our discretion, including for violation of these Terms or misuse of the Services.

4. Acceptable Use

You agree not to use the Services in any manner that:

  • Violates any applicable law or regulation
  • Interferes with or disrupts the operation of the Services

We may investigate any violation and suspend or terminate your ability to use the Services as needed.

5. User Content

Certain features of the Services may allow you to submit content, such as text, code, instructions, files, or feedback (“User Content”). By submitting User Content, you grant Pacy a non-exclusive, worldwide license to use, process, display, and transmit it as necessary to operate, troubleshoot, and improve the Services.

You represent and warrant that:

  • You own or have the right to submit the User Content
  • Your User Content does not infringe on any third-party rights
  • You will not submit unlawful, harmful, or abusive content

We do not claim ownership of your User Content.

6. AI-Generated Output

If the Services provide AI-generated results (“Output”), you understand and agree that:

  • Output may be inaccurate, incomplete, or misleading
  • You are responsible for reviewing and verifying Output before using it
  • Pacy is not liable for decisions or actions taken based on Output
  • The generation and processing of content may involve third-party models or infrastructure

Output may be similar to content provided to other users and should not be considered private or proprietary.

7. Software and License

Subject to these Terms, Pacy grants you a limited, non-exclusive, non-transferable, revocable license to use our Services.

You may not:

  • Modify, copy, or create derivative works
  • Rent, sell, or sublicense the Services
  • Attempt to bypass technological restrictions
  • Use the Services for competitive analysis or developing competing products

All intellectual property rights in the Services remain with Pacy or its licensors.

8. Paid Features and Subscriptions

Certain Services may require payment or a subscription. By purchasing a paid plan, you agree that:

  • Fees are non-refundable unless required by law
  • We may change pricing with reasonable notice
  • Subscriptions may renew automatically unless you cancel in advance
  • Payment information may be processed by third-party providers (e.g., Stripe)

We may suspend access to paid features for non-payment.

9. Third-Party Services

The Services may integrate with or rely on third-party platforms, APIs, or providers. Pacy is not responsible for the content, policies, or availability of third-party services.

You are responsible for reviewing third-party terms and privacy practices.

10. Service Modifications

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any disruption or loss caused by such changes.

11. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, including but not limited to:

  • Accuracy
  • Reliability
  • Availability
  • Non-infringement
  • Fitness for a particular purpose

We do not guarantee that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Pacy is not liable for indirect, incidental, consequential, punitive, or special damages
  • Pacy is not liable for loss of data, profits, revenue, or business
  • Pacy’s total liability for any claim will not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim

Some jurisdictions do not allow these limitations, so portions may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Pacy and its officers, employees, and affiliates from and against claims, damages, losses, or expenses arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your User Content
  • Any unlawful or harmful activity performed through your account

14. Termination

We may suspend or terminate your access at any time if:

  • You violate these Terms
  • We believe your actions pose a security or legal risk
  • We discontinue or modify parts of the Services

Upon termination, your right to use the Services ceases immediately.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. You agree to exclusive jurisdiction in Delaware for disputes arising from or relating to these Terms or the Services.

16. Changes to These Terms

We may update these Terms periodically. When we do, we will update the “Last updated” date at the top. Continued use of the Services after changes constitutes acceptance of the updated Terms.
